Georgian property contracts, in a language you read

Buying property in Georgia means signing a Georgian-language document that decides who owns it. These are the two contracts you are most likely to be handed, in Georgian and English, with a note on every clause saying what it does and where buyers get caught.

This is information, not legal advice, and we are not your lawyer. The templates follow the structure Georgian practice uses and the requirements of the Civil Code, but your transaction has facts a template cannot know. Have a Georgian lawyer read the completed document before you sign it. The cost of that review is a rounding error against the price of the property.

The one thing worth knowing before you read any of it

In Georgia, signing does not make you the owner. Ownership passes when the National Agency of Public Registry records it. Until that entry exists, you have a contract and the seller still has the property, which is why filing on the day you sign matters more than almost anything else in these documents.

Immovable Property Purchase and Sale Agreement

უძრავი ქონების ნასყიდობის ხელშეკრულება

The main contract. This is the document filed with the Public Registry to move ownership from the seller to you.

  1. 1. The parties / მხარეები

    This Agreement is concluded between [SELLER FULL NAME], [nationality], born [date of birth], holder of passport / personal number [number], residing at [address] (the "Seller"), and [BUYER FULL NAME], [nationality], born [date of birth], holder of passport / personal number [number], residing at [address] (the "Buyer"). Where a party acts through a representative, the representative acts under notarised power of attorney [number, date], apostilled where issued abroad.

    What to watch

    Check the seller's name here against the owner named on the Public Registry extract, character for character. If someone signs on the seller's behalf, ask for the power of attorney and confirm it is notarised and, if issued abroad, apostilled. A forged or expired power of attorney is one of the most common ways a sale is later unwound.

  2. 2. The property / ხელშეკრულების საგანი

    The Seller sells and the Buyer buys the immovable property located at [full address], cadastral code [XX.XX.XX.XXX.XXX], designated as [apartment / house / land plot / commercial], with a total registered area of [N] sq m, on floor [N] of [N] (the "Property"). The Seller's ownership arises from [basis of title, e.g. purchase agreement of date, registration entry number].

    What to watch

    The cadastral code is the only thing that identifies the property unambiguously. An address can be ambiguous; the code cannot. Verify it on the Registry extract and check the registered area matches what you were shown, because the area in the register is what you are buying, not what the advert said. If the designation is agricultural land, a foreign national cannot buy it at all.

  3. 3. Price and payment / ფასი და ანგარიშსწორება

    The price of the Property is [amount in figures] ([amount in words]) USD, payable in GEL at the official National Bank of Georgia exchange rate applicable on the date of each payment. Payment shall be made [in full on signing / in instalments as set out below] by bank transfer to account [IBAN], held at [bank]. Each payment shall be evidenced by a bank document. No cash payment shall be treated as made unless a signed receipt is issued.

    What to watch

    Georgian prices are usually quoted in USD but must settle in GEL. Fix which rate applies and on what date, or an exchange move between signing and payment becomes an argument. Pay by bank transfer wherever possible: a cash payment with no receipt is very hard to prove later, and proving you paid is your problem, not the seller's.

  4. 4. Handover and transfer of risk / ქონების გადაცემა და რისკები

    The Seller shall hand over physical possession of the Property, together with all keys, on [date / within N days of full payment], under an acceptance certificate signed by both parties. Ownership and all risk of accidental loss or damage pass to the Buyer from the moment of state registration of the Buyer's title in the Public Registry.

    What to watch

    This is the clause foreign buyers most often misread. Signing does not make you the owner in Georgia; the Registry entry does. Keep risk with the seller until registration completes, and take handover under a signed acceptance certificate so there is a record of the condition the property was in when you got it.

  5. 5. Seller's warranties / გამყიდველის გარანტიები

    The Seller warrants that: the Property is free of any mortgage, lien, seizure, arrest, lease, usufruct or third-party claim; no proceedings affecting the Property are pending; all utility, service and tax obligations are settled to the date of handover; the Property has no unregistered alterations; and, where the Seller is married, spousal consent has been obtained. The Seller shall indemnify the Buyer for any loss arising from breach of these warranties.

    What to watch

    Do not take these warranties on trust: pull a fresh Registry extract on the day you sign and read the encumbrances section yourself. Warranties give you someone to sue afterwards, which is far worse than not buying an encumbered property in the first place. Unregistered alterations are a specific Georgian trap, because they can block your own registration later.

  6. 6. Registration and costs / რეგისტრაცია და ხარჯები

    The parties shall jointly submit this Agreement to the National Agency of Public Registry for registration of the Buyer's title on the date of signing. The state registration fee shall be borne by [party]. Each party bears its own legal and translation costs. The Seller shall provide every document the Registry requires to complete registration without delay.

    What to watch

    File on the day you sign. The gap between signing and registration is the window in which a competing claim, a fresh mortgage or a second sale can appear, and whoever registers first wins. Standard processing is around four working days; expedited service costs more and is usually worth it.

  7. 7. Liability and penalties / პასუხისმგებლობა და პირგასამტეხლო

    If the Buyer delays payment, the Buyer shall pay a penalty of [N]% of the overdue amount per day of delay. If the Seller fails to hand over the Property or to take the steps required for registration, the Seller shall pay a penalty of [N]% of the price per day of delay. If either party refuses to complete without lawful cause, the defaulting party shall pay [amount] in damages, and the other party may terminate this Agreement and recover all sums paid.

    What to watch

    Make the penalties symmetrical. Templates handed to you by a seller or an agent very often penalise only late payment and say nothing about a seller who stalls on handover or registration, which leaves you with money paid and no way to force completion.

  8. 8. Governing law and disputes / მოქმედი კანონმდებლობა და დავები

    This Agreement is governed by the law of Georgia. Any dispute shall be resolved by the court at the location of the Property, unless the parties agree in writing to arbitration.

    წინამდებარე ხელშეკრულება რეგულირდება საქართველოს კანონმდებლობით. ნებისმიერი დავა განიხილება ქონების ადგილმდებარეობის მიხედვით სასამართლოს მიერ, თუ მხარეები წერილობით არ შეთანხმდებიან არბიტრაჟზე.

    What to watch

    Georgian law and Georgian courts will apply to Georgian land whatever the contract says, so this clause mainly removes argument. Be wary of any clause sending disputes to a foreign forum: it tends to make enforcement slower and more expensive for you, not for the seller.

  9. 9. Language / ხელშეკრულების ენა

    This Agreement is executed in Georgian and English. In the event of any discrepancy, the [Georgian / English] text shall prevail. Where the Buyer does not read Georgian, a certified interpreter has translated this Agreement in full and signs below to confirm the accuracy of that translation.

    წინამდებარე ხელშეკრულება შედგენილია ქართულ და ინგლისურ ენებზე. შეუსაბამობის შემთხვევაში უპირატესობა ენიჭება [ქართულ / ინგლისურ] ტექსტს. თუ მყიდველი არ ფლობს ქართულ ენას, ხელშეკრულება სრულად თარგმნა სერტიფიცირებულმა თარჯიმანმა, რომელიც ხელმოწერით ადასტურებს თარგმანის სისწორეს.

    What to watch

    Decide which language wins and write it down. If you cannot read Georgian and the Georgian text prevails, you are bound by a document you have not read. Either insist the English text prevails, or have a certified interpreter sign, which is standard practice and puts the translation on the record.

  10. 10. Signatures and annexes / ხელმოწერები და დანართები

    Annexes forming part of this Agreement: (1) current Public Registry extract; (2) cadastral plan; (3) copies of the parties' identity documents; (4) spousal consent, where applicable; (5) power of attorney, where applicable; (6) acceptance certificate; (7) payment receipts. Signed on [date] at [place].

    What to watch

    The Registry extract annexed here should be dated the day of signing, not weeks earlier. An extract from a month ago proves nothing about what is registered against the property today.

Preliminary Agreement and Deposit

წინარე ხელშეკრულება და ბე

Signed before the main contract to hold a property while checks are done. This is the stage where foreign buyers most often lose money, because the sum is small enough to hand over without advice.

  1. 1. Obligation to conclude the sale / ნასყიდობის დადების ვალდებულება

    The parties undertake to conclude the Purchase and Sale Agreement for the Property at [full address], cadastral code [XX.XX.XX.XXX.XXX], at a price of [amount] USD, no later than [date]. The Seller shall not offer, market or sell the Property to any third party before that date.

    მხარეები კისრულობენ ვალდებულებას, დადონ ნასყიდობის ხელშეკრულება ქონებაზე, რომელიც მდებარეობს [სრული მისამართი], საკადასტრო კოდი [XX.XX.XX.XXX.XXX], ფასად [თანხა] აშშ დოლარი, არაუგვიანეს [თარიღი]. გამყიდველი ვალდებულია აღნიშნულ თარიღამდე არ შესთავაზოს, არ გაასაჯაროოს და არ მიჰყიდოს ქონება მესამე პირს.

    What to watch

    Fix the price and the deadline here, or the preliminary agreement holds nothing. The exclusivity undertaking is the thing you are actually paying the deposit for.

  2. 2. The deposit and what happens to it / ბე და მისი ბედი

    The Buyer pays [amount] USD as a deposit. The deposit counts towards the price on completion. If the Buyer withdraws without lawful cause, the Seller retains the deposit. If the Seller withdraws, or if the checks in clause 3 reveal any encumbrance, discrepancy in area or cadastral designation, or defect in the Seller's title, the Seller shall return the deposit in full within [N] days.

    What to watch

    This is the whole document. Make the deposit refundable if your checks find a problem, and say so explicitly. A deposit that is forfeit no matter what the Registry turns out to say is not a deposit, it is a fee for the right to discover you are being sold something encumbered.

  3. 3. Buyer's checks / მყიდველის შემოწმება

    Before the date in clause 1 the Buyer may verify the Property in the Public Registry, including ownership, encumbrances, registered area and designation. The Seller shall provide any document reasonably required for those checks.

    What to watch

    Give yourself a written right to check and a deadline long enough to use it. A seller who resists this clause is telling you something useful.
